Acceptance of Terms

By accessing, registering for, or using the NeonNeuron platform ("Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you must not access or use the Service.

Your continued use of the Service after any modifications to these Terms constitutes your acceptance of the revised Terms. We will notify registered users of material changes via email or in-platform notification.

Eligibility

You must be at least 18 years of age or the legal age of majority in your jurisdiction to use NeonNeuron. By creating an account, you represent and warrant that:

• You have the legal capacity to enter into a binding agreement
• You are not barred from using the Service under applicable laws
• If registering on behalf of an organization, you have the authority to bind that organization to these Terms
• All information provided during registration is accurate, current, and complete

Account Registration & Security

To access the Service, you must create an account by providing your name, email address, organization name, and a strong password. Email verification via OTP is required to complete registration.

Account Responsibilities

• You are responsible for maintaining the confidentiality of your account credentials
• You must immediately notify us of any unauthorized use of your account
• You may not share, sell, or transfer your account to another person
• You are responsible for all activities that occur under your account

Role-Based Access

NeonNeuron operates a three-tier role system: Admin, Manager, and Member. The account creator is designated as Admin with full workspace control. Admins are responsible for managing team members, roles, and workspace data within their organization.

Platform Services

NeonNeuron provides a multi-tenant workspace platform that includes:

• Workspace creation and management (up to 7 workspaces per account depending on plan)
• Team organization with role-based access control
• Project management with 7-stage progress tracking
• Real-time channel-based messaging with auto-expiry (7 days for Members, 10 days for Admin/Manager)
• Secure invite system with time-limited links and team passwords
• Team events and announcements scheduling
• Data export capabilities (JSON and PDF formats)
• Workspace analytics and status change request workflows

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice to users.

Subscription Plans & Limits

NeonNeuron offers three annual subscription plans. All plans are billed annually with no monthly billing option.

Basic Plan — $199/year

• 2 workspaces, 2 teams, 2 projects, 2 channels per workspace
• No meetings/events scheduling, no team or project merge

Advanced Plan — $399/year

• 4 workspaces, 4 teams, 4 projects, 4 channels per workspace
• 2 meetings/events per month, team merge, assign 2 teams to a project
• Data export, custom roles and positions, priority support

Pro Plan — $699/year

• 7 workspaces, 7 teams, 7 projects, 7 channels per workspace
• 10 meetings/events per month, full team and project merge
• Workspace analytics, bulk invites, dedicated support

Plan limits are enforced at the platform level. Exceeding plan limits requires upgrading to a higher tier.

Acceptable Use Policy

You agree to use the Service only for lawful purposes and in compliance with these Terms. You shall not:

• Use the Service for any illegal, fraudulent, or unauthorized purpose
• Upload, transmit, or distribute any malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to other users' accounts or workspace data
• Interfere with or disrupt the integrity or performance of the Service
• Scrape, crawl, or use automated means to access the Service without permission
• Harass, abuse, or threaten other users through the messaging system
• Violate any applicable local, state, national, or international law
• Impersonate any person or entity or falsely represent your affiliation

Violation of this policy may result in immediate suspension or termination of your account without notice or refund.

Intellectual Property

The NeonNeuron platform, including its design, code, features, branding, documentation, and all related intellectual property, is owned by NeonNeuron Technologies Ltd. and protected by applicable copyright, trademark, and intellectual property laws.

• You retain ownership of all content and data you upload to the platform
• You grant NeonNeuron a limited license to host, store, and display your content solely for the purpose of providing the Service
• You may not copy, modify, distribute, sell, or create derivative works of the platform
• The NeonNeuron name, logo, and branding are trademarks of NeonNeuron Technologies Ltd.

Data Ownership & Retention

You own all data you create within your workspace. NeonNeuron does not claim ownership over your content, messages, projects, or team data.

• Messages auto-expire after 7 days (Member) or 10 days (Admin/Manager) to maintain clean conversations
• Workspace data (teams, projects, channels, members) is retained as long as the workspace exists
• Admins can export all workspace data at any time in JSON or PDF format
• Upon account deletion, all owned workspace data is permanently removed from our systems
• OTP verification codes are automatically deleted after use or expiry

Termination

Either party may terminate this agreement at any time.

• You may delete your account at any time through the Settings page. This action is permanent and irreversible.
• If you own workspaces, all associated data (teams, projects, channels, messages, invites) will be permanently deleted upon account deletion.
• We may suspend or terminate your account for violation of these Terms, the Acceptable Use Policy, or applicable laws.
• Upon termination, your right to access the Service ceases immediately.

Limitation of Liability

To the maximum extent permitted by law, NeonNeuron Technologies Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to:

• Loss of data, revenue, profits, or business opportunities
• Service interruptions, downtime, or technical failures
• Unauthorized access to your account due to compromised credentials
• Actions taken by other users within shared workspaces

Our total liability shall not exceed the amount paid by you for the Service during the twelve (12) months preceding the event giving rise to liability.

Indemnification

You agree to indemnify, defend, and hold harmless NeonNeuron Technologies Ltd., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you upload, transmit, or distribute through the Service

Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to registered users via email at least 30 days before they take effect. Your continued use of the Service after the effective date of any modifications constitutes acceptance of the updated Terms.

If you do not agree with the modified Terms, you must stop using the Service and delete your account before the effective date.

Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
